EULA - End User License Agreement

PARTIES: I hereby accept and understand that this software (the SOFTWARE) has been licensed to the LICENSEE, at the PREMISES by European Commercial Consortium Ltd., trading as 'Software Systems' (the LICENSOR), whose registered address is: Bonamy House, St. Peter Port, Guernsey, GY1 2NZ, Channel Islands for the exclusive use by the LICENSEE at the PREMISES only. USE: I understand that I am not authorized to use or make copies of the SOFTWARE for the benefit of any other Company, Subsidiary, Partnership, Organisation, Party or Individual or at any address other than the PREMISES. This license does not permit this software to be re-sold except with the express written permission of the LICENSOR and gives the LICENSEE the use of but not ownership of the SOFTWARE and I understand that the LICENSOR retains copyright of the SOFTWARE. Futhermore, I agree to not attempt to reverse engineer or dis-assemble or modify the SOFTWARE. I understand that this practice is illegal and that doing so could compromise the integrity of the system. LIABILITY: The LICENSOR does not accept any liability whatsoever that may arise from the use, misuse or abuse of the SOFTWARE and by installing and using the SOFTWARE I accept this. If my local legal situation does not permit this form of limited liability then I will not install or use the SOFTWARE. I also agree that if any part of this agreement is found to unenforceable or illegal in my local jurisdiction, the remainder will still apply. WAIVERS: All waivers must be in writing. Any waiver or failure to enforce a provision of this License on one occasion shall not be deemed a waiver of any other provision or such provision on any other occasion. This License may only be amended by a written document signed by both parties. PENALTY: I understand that I and or my employer may be prosecuted to the fullest extent under English law if I break these terms and by using the SOFTWARE I indicate my acceptance of these terms.
